Critical Dead Man's Switch Operating Warning

By activating a Dead Man's Switch on TeamDeed, you acknowledge that if you fail to respond to heartbeat pings or fail to cancel a nominee claim within the designated 72-hour grace period, vault access will automatically and irrevocably release to your designated Nominee Partner. You are solely responsible for keeping your contact information active and using Vacation Mode during planned absences.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "Customer") and TeamDeed Technologies Inc. ("TeamDeed", "we", "us"). By registering an account, creating or joining a workspace, drafting or signing an agreement, or depositing secrets into a credential vault, you agree to be bound by these Terms and our Privacy Policy.

2. Dead Man's Switch & Credential Escrow Protocol

The platform operates automated heartbeat monitoring and contingency release mechanisms:

  • Heartbeat Maintenance: The Primary Account Holder must periodically check in (via email, WhatsApp, or dashboard ping). If a check-in is overdue beyond the ping interval (default 30 days), an inactivity escalation sequence begins.
  • Nominee Claims & 72-Hour Grace Period: If a designated Nominee Partner initiates an emergency claim, TeamDeed immediately dispatches high-priority sirens across your registered notification channels and displays a persistent countdown banner. You have exactly seventy-two (72) hours (or your custom configured window) to click "Cancel Claim".
  • Irrevocable Auto-Release: If 72 hours lapse without an owner cancellation, the switch triggers and releases the encrypted DEKs to the Nominee Partner. TeamDeed is NOT liable for any loss, unauthorized access, or business disruption resulting from your failure to cancel a claim within the grace window.
  • Vacation Mode: Users traveling off-grid or entering medical procedures may activate Vacation Mode to pause countdown timers for up to 90 days.

3. Digital Deeds & Legal Tech Disclaimer (No Legal Advice)

TeamDeed provides attorney-crafted document templates, agreement studios, and e-signature infrastructure. However:

TEAMDEED IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE.

No attorney-client relationship is formed between you and TeamDeed. While our partnership deeds are drafted to comply with the US Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and EU eIDAS regulations, you should consult with qualified legal counsel in your specific jurisdiction regarding your unique ownership, tax, or probate considerations.

4. Zero-Knowledge Architecture & Key Custody

All credentials deposited into the vault are encrypted client-side using WebCrypto AES-256-GCM envelope encryption. TeamDeed does not store your master private passphrase or unencrypted Data Encryption Keys.

WARNING: If you forget or lose your master passphrase, TeamDeed cannot reset it or recover your encrypted secrets. Lost passphrases result in permanent, mathematically irreversible loss of data.

5. Subscriptions, Payments & Refunds

TeamDeed offers free tiers (Seed Partners) and paid subscription plans (Growth Founders, Syndicate).

  • Merchant of Record: Payments and recurring subscriptions are processed securely by Freemius Inc.
  • Automatic Renewal: Paid plans renew automatically on a monthly or annual basis unless cancelled prior to the billing cycle end date.
  • 14-Day Refund Guarantee: First-time paid subscribers are entitled to a full refund within 14 days of initial purchase upon request to support@teamdeed.com.
  • Downgrades & Workspace Caps: If an account is cancelled or downgraded, existing deeds remain legally archived, but vault additions and advanced nominee slots exceeding the free tier will become read-only.

6. Acceptable Use & Prohibitions

You agree NOT to:

  • Use TeamDeed for unlawful purposes, money laundering, ransomware key custody, or terrorism financing.
  • Attempt to bypass our cryptographic boundaries, reverse-engineer encryption routines, or launch DDoS attacks.
  • Intentionally file fraudulent or malicious unresponsiveness claims against living or accessible co-founders.
  • Impersonate legal counsel, court executors, or third-party corporate entities.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMDEED TECHNOLOGIES INC. AND ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE OPERATIONAL RELEASE OF CREDENTIALS UNDER THE DEAD MAN'S SWITCH PROTOCOL. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TEAMDEED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Wilmington, Delaware.
